WoodlandPlus Elite, Purchase and License Agreement

1) Products and services

1.1 Elite Plan. One-time purchase. Lifetime access as defined in the Terms of Service.
1.2 Deliverables. Access to the Library, unlimited points, all future releases, and the Elite Custom Package, four custom 10-preset packs with cover design and before and after images.

2) Fees and payment

2.1 Fee. Customer will pay a one-time fee of $1,499 plus applicable taxes.
2.2 Non-refundability. All Elite sales are final, except where required by law.

3) Custom Package scope

3.1 Service window. Twelve months from Effective Date to initiate and complete the four Custom Packs.
3.2 Inputs. Customer will provide RAW files or a written brief.
3.3 Approvals. One concept round and one revision round per pack unless otherwise agreed in writing.
3.4 Delivery. Lightroom preset files and presentation assets, delivered digitally.

4) Intellectual property

4.1 Library. Woodland owns all IP in the Library and future releases. Woodland grants Customer the license described in section 8 of the Terms of Service. Customer may not resell or redistribute the Library.
4.2 Custom Packs. Upon final payment and delivery, Woodland assigns to Customer all right, title, and interest in the Custom Packs and included presentation assets, excluding Woodland background IP, tools, and know-how. Woodland will not sell or distribute Customer’s Custom Packs. Customer has full resale rights to the Custom Packs.
4.3 Background IP. Each party retains ownership of its background IP. No implied licenses are granted.

5) Fair use and security

Customer agrees to comply with Woodland’s fair-use protections. Woodland may monitor, throttle, or temporarily pause access where there are reasonable indicators of abuse. Woodland will restore access after the issue is resolved.

6) Confidentiality

Non-public materials provided by either party, including RAW files, briefs, and unreleased assets, are confidential. Each party will use the other party’s confidential information only to perform this Agreement and will protect it with reasonable care.

7) Warranties, disclaimers, and limitation of liability

7.1 Warranties. Each party warrants it has the right to enter this Agreement.
7.2 Disclaimers. Except as stated, all Deliverables are provided “as is.”
7.3 Limitation. Woodland’s total liability arising out of this Agreement will not exceed the fee paid by Customer for Elite. Woodland is not liable for indirect or consequential damages.

8) Term and termination

8.1 Term. This Agreement begins on the Effective Date and continues while Customer holds an active Elite account.
8.2 Termination for cause. Either party may terminate for a material breach uncured within 30 days after written notice.
8.3 Effect of termination. Customer’s license to the Library ends on termination for cause. Ownership of delivered Custom Packs remains with Customer.

9) Governing law and venue

This Agreement is governed by the laws of the Province of Québec, Canada, and the federal laws of Canada. The courts in Drummondville, Québec have exclusive jurisdiction.

10) Entire agreement, order of precedence

This Agreement, the Elite Terms of Service, and any attached statements of work make up the entire agreement on this subject. If there is a conflict, this Agreement controls over the site Terms for the Custom Packs section and fee terms.

11) Notices

Notices must be in writing and sent to the addresses below or by email with confirmation.
